General Terms and Conditions of Sale

  1. Mission

G.S. Tools S.r.l., with registered office at Via Caossea no. 12, Torreglia (PD), Italy – Tax Code and VAT No. 05706150280 – is a company established with the aim of developing and supplying robust, intuitive, and durable equipment designed to meet the operational needs of professionals in the sector effectively (hereinafter also referred to as the “Mission”).

  1. Definitions

For the purposes of these General Terms and Conditions of Sale, the following terms shall have the meanings set out below:

  • “User”: any party interested in using the services provided by the Website;
  • “Consumer User”: a natural person acting for purposes unrelated to their business, commercial, craft or professional activity;
  • “Non-Consumer User”: a natural person purchasing goods for purposes related to their professional activity, or purchasing by indicating their VAT number;
  • “Services”: services provided to Users through the Website under these General Terms and Conditions of Sale.
  1. Subject matter

These General Terms and Conditions of Sale govern the purchase of products made via the website www.gstoolshop.com (the ‘Website’).
The Seller operates its e-commerce platform exclusively with Users who are of legal age, have the legal capacity to enter into binding contracts, and qualify either as Consumer Users (B2C) or Non-Consumer Users (B2B).
Products may only be sold by the Seller via this Website unless otherwise expressly agreed in writing by the Seller.

  1. Contract Formation

The contract for the purchase of one of the products on the Site is concluded via the internet.
The display of products on the Website constitutes an offer to the public.
To make a purchase, the User must select the desired product(s), choose the relevant Clamp Size (if applicable), and quantity, and click the “Add to Basket” button.
To complete the purchase, the User may:

  1. Click “View Cart”, then “Proceed to Checkout”, and fill in the required billing and shipping details (the billing address should only be completed if different from the shipping address). Fields marked with an asterisk (*) are mandatory. After completing the form, the User selects the payment method, accepts the General Terms and Conditions of Sale, and proceeds with payment.
  2. Log in to the platform, click “View Cart”, then “Proceed to Checkout”, choose the payment method, accept the Terms, and finalize the purchase.
  3. Register an account and proceed with steps similar to the above to complete the purchase.

If the User does not immediately complete the order, the selected products will remain saved in the shopping cart.
By submitting the Order, the User confirms their acceptance of all applicable information and legal documents published on the Website, including the General Terms of Use, Privacy Policy, Shipping Policies, and the Right of Withdrawal Information.
Upon submission of the Order, the contract is deemed concluded, and the total amount—including product price, shipping costs, taxes, and duties—is charged immediately.
After submitting the Order, the User will receive an automatic email confirming the Order and summarizing its details, along with a reference to these Terms and Conditions.
Within a few days, Consumer Users will also receive a separate email from the shipping provider containing tracking information and the name of the courier.
If a product ordered is no longer available at the time the Order is received, the Seller will notify the User within seven (7) days and issue a full refund of the purchase price and any shipping costs within thirty (30) days. The contract will be deemed terminated.
Users may place a new order once the product becomes available again, or choose a different product if the original product is discontinued.
The Seller informs Users that submitted Orders will be stored electronically on the Website’s server and, if the User is registered, will be visible in the “Order History” section of their account.
In the event of any incorrect data entry, the User must notify the Seller within 24 hours of Order confirmation by writing to: support@gstoolshop.com. In such cases, the Order will be cancelled and the amount refunded in full. The User may then place a new, corrected Order.
The languages available for concluding contracts on the Website are Italian and English.

  1. Product Prices, Shipping Costs, Taxes, and Duties

The price of each product is clearly displayed on the Website.
For shipping costs, taxes, and applicable duties, Users should refer to the Shipping Policies.

  1. Offers and Promotional Codes

The Seller may offer discounted prices on products marked as “Offer.” The original price will be shown with a strikethrough, and the sale price displayed next to it.
Promotional codes may be issued at the Seller’s discretion and are not combinable with other offers. Codes must be used within the stated validity period and applied at checkout in the appropriate field, followed by clicking “Apply Promotional Code.”

  1. Payment Methods

The User may pay for products and related shipping costs via the following methods:

  1. PayPal
  2. Credit and/or Debit Card

No other payment methods are accepted.
The purchase price (including shipping, taxes, and duties) will be charged upon submission of the Order. If payment is not successfully processed, the Order will be cancelled, and the contract deemed not concluded.
The Seller shall not be held responsible for any additional fees charged by the User’s bank or credit institution.
Financial data provided during the transaction is securely processed by third-party payment service providers. No third party will gain access to such data through the Website.

  1. Product warranties

The Seller markets products manufactured by third parties. However, products in the T-PEN series are assembled directly by the Seller.
Each product is accompanied by a product sheet with photographs, a description, specifications, clamp size (if applicable), product code, and retail price (excluding VAT). Final pricing including VAT and shipping is calculated at checkout.
The Seller guarantees that product characteristics match the descriptions and images shown on the Website.
Consumer Users (B2C):
A 24-month legal warranty of conformity applies, starting from the date of delivery. Defects must be reported within 26 months by contacting: support@gstoolshop.com.
The Seller will assess the claim within 14 days. If the defect is confirmed, the product must be returned at the Seller’s expense. The Consumer may then choose a replacement or full refund using the original payment method, where possible.
Non-Consumer Users (B2B):
A 12-month warranty applies, starting from the delivery date. Defects must be reported within 8 days of discovery, failing which the warranty is void.
Upon verification of the defect within 14 days, the product must be returned at the Seller’s expense. The Non-Consumer User is entitled to a full refund or, alternatively, a partial refund (price reduction).

  1. Right of withdrawal

Consumer Users may exercise their right of withdrawal in accordance with the Right of Withdrawal Information, which forms an integral part of these Terms.
The right of withdrawal does not apply to Non-Consumer Users.

  1. Intellectual property rights

All trademarks, logos (including “GS TOOLS” and “T-PEN”), trade names, images, photos, written content, and graphics appearing on the Website or relating to the products remain the exclusive property of G.S. Tools S.r.l. and its assignees.
Access to the Website or purchase of products does not grant the User any rights over such intellectual property.
No content may be copied, transferred, modified, or used without prior written permission from the Seller. Any unauthorised use may give rise to a claim for damages.

  1. Limitation of liability

The Seller shall not be held liable for:

  1. total or partial failure to perform the services due and specified in these General Terms and Conditions of Sale for the conclusion of the online sales contract for the products on the Website, if the failure is due to and caused by unforeseeable events and/or natural events beyond its reasonable control, including natural disasters, acts of terrorism, wars, popular uprisings, power failures, general strikes by public and/or private workers, strikes and/or restrictions on the movement of couriers and air connections, pandemics and/or any other disruption or malfunction related to the use of the internet. The limitation of liability referred to in the preceding point shall not apply in cases where the Seller has acted with intent or gross negligence towards the User.
  2. any fraudulent and unlawful use that may be made by third parties of credit cards when paying for purchased products, provided that you can demonstrate that you took all applicable precautions at the time of the transaction;
  3. communication of false and/or untrue information by the User;
  4. unauthorised supply of products on this Site by third parties and not sold directly by G.S. Tools S.r.l. through this platform.

 

  1. Privacy Protection

To process Orders and shipments, the Seller will process Users’ personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Italian Legislative Decree 196/2003, as amended by Legislative Decree 101/2018.
Users are invited to consult the Privacy Policy for full details on personal data processing.

  1. Applicable law, dispute resolution and jurisdiction

These Terms are governed by Italian law, in particular Legislative Decree No. 70/2003 on Electronic Commerce, without prejudice to any overriding mandatory provisions in the User’s country of residence.
Consumer Users are also protected by the Italian Consumer Code.
In the event of disputes regarding the interpretation or execution of this contract:
Consumer Users may use Alternative Dispute Resolution (ADR) mechanisms or refer the matter to the competent court of their residence or domicile.
Non-Consumer Users agree that the exclusive jurisdiction lies with the Court of Padua.
If the User resides outside the EU, international law applies, including the Rome I Regulation (EC No. 593/2008): Article 4(1)(a) applies to Non-Consumer Users and Article 6 applies to Consumer Users.

  1. Amendments and Updates

These General Terms and Conditions of Sale are effective from the date of publication on the Website and may be amended at any time by the Seller.

Any amendments shall be binding from the date of publication.

Welcome to www.gstoolshop.com (hereinafter also referred to as the ‘Website’)!
This is an online shop owned exclusively by G.S. Tools S.r.l., with registered office in Torreglia (PD), Via Caossea no. 12 – Tax Code and VAT no. 05706150280.
Access to and use of the Website are governed by these General Terms and Conditions of Use.
By accessing and using the Website, and/or purchasing products, the User confirms that they have read, understood, and accepted: General Terms and Conditions of Use, as well as the General Terms and Conditions of Sale, the Right of Withdrawal Policy, the Returns and Refund Policy, the Shipping Policy, the Transaction Security Policy and the Privacy Policy.

  1. Intellectual property rights

The Seller informs Users that all names, logos – including but not limited to the “GS TOOLS” logo in its specific form, design, and typography – as well as the “T-PEN” trademark, and any other distinctive signs, names, images, photographs, text, or graphics used on the Website or related to the products, are the exclusive property of G.S. Tools S.r.l. and/or its licensors.
These elements are protected by copyright and other intellectual property laws. Access to the Website and/or the purchase of products does not grant the User any rights over these materials.
Any unauthorised use, reproduction, transfer, modification, or distribution is strictly prohibited.
The T-PEN mark, as designed and stylised, is a registered trademark in Italy (with the Ministry of Enterprises and Made in Italy) and within the EU (via the EUIPO – European Union Intellectual Property Office). The User is expressly prohibited from using, sharing, transferring, selling, or gifting this trademark, even for personal purposes.
The contents of the Website, including images, may not be reproduced – in whole or in part – without the prior written consent of the Seller.
The domain name www.gstoolshop.com. is the exclusive property of the Seller.

  1. “Login” and “Register”

Users may choose to register on the Website by completing the “Register” form. Required fields (marked with an asterisk *) include: username, e-mail address, password, user type, first name, last name, country, address, postcode and city. However, the User is free to decide whether to enter additional data in the fields not marked with an asterisk. Please note that in order to complete the registration process, the fields marked with an asterisk must be filled in, otherwise the registration cannot be completed.
Registration cannot be completed without entering the required fields. Additional, optional information may also be provided at the User’s discretion.
Once registered, the User can log in using their email or username and password via the “Login” form. If a password is forgotten, the User may use the “Forgotten your password?” feature to reset it.
The Seller is not responsible for any false or inaccurate information submitted by the User.

  1. Privacy Policy

Users are encouraged to consult the Privacy Policy to understand how their personal data is processed in accordance with GDPR and Italian privacy laws.

  1. Applicable Law and Jurisdiction

These General Terms and Conditions of Use are governed by Italian law, specifically:
Legislative Decree No. 206 of 6 September 2005 (Consumer Code) for Consumer Users.
Any disputes arising from the use of the Website or related to these Terms shall fall under the exclusive jurisdiction of the Court of Padua, except where mandatory consumer protection laws provide otherwise.
For Consumer Users, Article 13 of the General Terms and Conditions of Sale shall apply.
For Users residing outside the EU, international law applies – in particular, the Rome I Regulation (EC No. 593/2008). Article 4(1)(a) applies to Non-Consumer Users and Article 6 applies to Consumer Users.

These Terms are effective from the date of publication on the Website and may be amended at any time by the Seller.

Information on the Right of Withdrawal

This policy applies exclusively to Consumer Users.

  1. Exercising the right of withdrawal

The Consumer User has the right to withdraw from the contract concluded on the Website, without penalty and without providing any reason, within 14 (fourteen) days from the date of:
delivery of the product; or
in the case of multiple products ordered and delivered separately, receipt of the last product.
To exercise this right, the Consumer User must send a clear and explicit statement of withdrawal to the Seller at: support@gstoolshop.com.
Within 48 hours, the Seller will respond via email with instructions for the return.
The Consumer User must return the goods to the courier designated by the Seller within 14 (fourteen) days of notifying their decision to withdraw.

  1. Conditions for withdrawal

To validly exercise the right of withdrawal, the following conditions must be met:

  1. The request must be made within 14 days from the date of receipt of the product (or last product in the case of multiple items);
  2. The product must not be used or damaged;
  3. The product must be returned with its identification tag and in the original packaging;
  4. The return must be handed to the courier within 14 days of the withdrawal notification.

If the return meets the above conditions, the Seller will: accept the return; notify the Consumer via email; and refund the full purchase price and the original shipping costs, excluding taxes and duties.
Return shipping costs are the sole responsibility of the Consumer User.
If the return does not meet the conditions, the Seller will notify the Consumer User and deny the refund. The Consumer may then choose to have the product returned to them, at their own expense.

  1. Refund Timing and Method

Once the return is accepted, the Seller will process the refund within 14 (fourteen) days of receiving the returned products.
The actual crediting of the refund depends on the processing time of the Consumer’s payment provider (bank or credit card company), and the Seller cannot be held responsible for any delays caused by third-party institutions.
Refunds will include: the full purchase price of the product and the original delivery costs (excluding taxes and duties).
The refund will be made using the same payment method used for the original transaction.

  1. Product Exchanges

In certain cases, and at the Seller’s discretion, a Consumer User may request a product exchange instead of a refund, only for errors in Clamp Size selection.
Exchanges are only possible if the requested size is still in stock.

Conditions for exchange:

  1. The request must be made via email;
  2. The product must be returned in original condition, unused and in its original packaging;
  3. Only one exchange per item is allowed.

If any of the above conditions are not met, the Seller may deny the exchange, and the item will be returned to the Consumer at their expense.
The Consumer is responsible for all shipping costs related to the exchange.

  1. Applicable law

This Right of Withdrawal Policy is an integral and substantial part of the General Terms and Conditions of Sale and is governed by applicable EU and Italian law, including the Consumer Code and the Rome I Regulation.
