Tools S.r.l.<\/strong>, with registered office at Via Caossea no. 12, Torreglia (PD), Italy \u2013 Tax Code and VAT No. 05706150280 \u2013 is a company established with the aim of developing and supplying robust, intuitive, and durable equipment designed to meet the operational needs of professionals in the sector effectively (hereinafter also referred to as the \u201cMission\u201d).<\/p>\n<ol start=\"2\">\n<li><strong> Definitions<\/strong><\/li>\n<\/ol>\n<p>For the purposes of these General Terms and Conditions of Sale, the following terms shall have the meanings set out below:<\/p>\n<ul>\n<li>\u201cUser\u201d: any party interested in using the services provided by the Website;<\/li>\n<li>\u201cConsumer User\u201d: a natural person acting for purposes unrelated to their business, commercial, craft or professional activity;<\/li>\n<li>\u201cNon-Consumer User\u201d: a natural person purchasing goods for purposes related to their professional activity, or purchasing by indicating their VAT number;<\/li>\n<li>\u201cServices\u201d: services provided to Users through the Website under these General Terms and Conditions of Sale.<\/li>\n<\/ul>\n<ol start=\"3\">\n<li><strong> Subject matter<\/strong><\/li>\n<\/ol>\n<p>These General Terms and Conditions of Sale govern the purchase of products made via the website www.gstoolshop.com (the \u2018Website\u2019).<br \/>\nThe Seller operates its e-commerce platform exclusively with Users who are of legal age, have the legal capacity to enter into binding contracts, and qualify either as Consumer Users (B2C) or Non-Consumer Users (B2B).<br \/>\nProducts may only be sold by the Seller via this Website unless otherwise expressly agreed in writing by the Seller.<\/p>\n<ol start=\"4\">\n<li><strong> Contract Formation<\/strong><\/li>\n<\/ol>\n<p>The contract for the purchase of one of the products on the Site is concluded via the internet.<br \/>\nThe display of products on the Website constitutes an offer to the public.<br \/>\nTo make a purchase, the User must select the desired product(s), choose the relevant Clamp Size (if applicable), and quantity, and click the \u201cAdd to Basket\u201d button.<br \/>\nTo complete the purchase, the User may:<\/p>\n<ol>\n<li>Click \u201cView Cart\u201d, then \u201cProceed to Checkout\u201d, and fill in the required billing and shipping details (the billing address should only be completed if different from the shipping address). Fields marked with an asterisk (*) are mandatory. After completing the form, the User selects the payment method, accepts the General Terms and Conditions of Sale, and proceeds with payment.<\/li>\n<li>Log in to the platform, click \u201cView Cart\u201d, then \u201cProceed to Checkout\u201d, choose the payment method, accept the Terms, and finalize the purchase.<\/li>\n<li>Register an account and proceed with steps similar to the above to complete the purchase.<\/li>\n<\/ol>\n<p>If the User does not immediately complete the order, the selected products will remain saved in the shopping cart.<br \/>\nBy submitting the Order, the User confirms their acceptance of all applicable information and legal documents published on the Website, including the General Terms of Use, Privacy Policy, Shipping Policies, and the Right of Withdrawal Information.<br \/>\nUpon submission of the Order, the contract is deemed concluded, and the total amount\u2014including product price, shipping costs, taxes, and duties\u2014is charged immediately.<br \/>\nAfter submitting the Order, the User will receive an automatic email confirming the Order and summarizing its details, along with a reference to these Terms and Conditions.<br \/>\nWithin a few days, Consumer Users will also receive a separate email from the shipping provider containing tracking information and the name of the courier.<br \/>\nIf a product ordered is no longer available at the time the Order is received, the Seller will notify the User within seven (7) days and issue a full refund of the purchase price and any shipping costs within thirty (30) days. The contract will be deemed terminated.<br \/>\nUsers may place a new order once the product becomes available again, or choose a different product if the original product is discontinued.<br \/>\nThe Seller informs Users that submitted Orders will be stored electronically on the Website\u2019s server and, if the User is registered, will be visible in the \u201cOrder History\u201d section of their account.<br \/>\nIn the event of any incorrect data entry, the User must notify the Seller within 24 hours of Order confirmation by writing to: <a href=\"mailto:support@gstoolshop.com\">support@gstoolshop.com<\/a>. In such cases, the Order will be cancelled and the amount refunded in full. The User may then place a new, corrected Order.<br \/>\nThe languages available for concluding contracts on the Website are Italian and English.<\/p>\n<ol start=\"5\">\n<li><strong> Product Prices, Shipping Costs, Taxes, and Duties<\/strong><\/li>\n<\/ol>\n<p>The price of each product is clearly displayed on the Website.<br \/>\nFor shipping costs, taxes, and applicable duties, Users should refer to the Shipping Policies.<\/p>\n<ol start=\"6\">\n<li><strong> Offers and Promotional Codes<\/strong><\/li>\n<\/ol>\n<p>The Seller may offer discounted prices on products marked as \u201cOffer.\u201d The original price will be shown with a strikethrough, and the sale price displayed next to it.<br \/>\nPromotional codes may be issued at the Seller\u2019s discretion and are not combinable with other offers. Codes must be used within the stated validity period and applied at checkout in the appropriate field, followed by clicking \u201cApply Promotional Code.\u201d<\/p>\n<ol start=\"7\">\n<li><strong> Payment Methods<\/strong><\/li>\n<\/ol>\n<p>The User may pay for products and related shipping costs via the following methods:<\/p>\n<ol>\n<li>PayPal<\/li>\n<li>Credit and\/or Debit Card<\/li>\n<\/ol>\n<p>No other payment methods are accepted.<br \/>\nThe purchase price (including shipping, taxes, and duties) will be charged upon submission of the Order. If payment is not successfully processed, the Order will be cancelled, and the contract deemed not concluded.<br \/>\nThe Seller shall not be held responsible for any additional fees charged by the User\u2019s bank or credit institution.<br \/>\nFinancial data provided during the transaction is securely processed by third-party payment service providers. No third party will gain access to such data through the Website.<\/p>\n<ol start=\"8\">\n<li><strong> Product warranties<\/strong><\/li>\n<\/ol>\n<p>The Seller markets products manufactured by third parties. However, products in the T-PEN series are assembled directly by the Seller.<br \/>\nEach product is accompanied by a product sheet with photographs, a description, specifications, clamp size (if applicable), product code, and retail price (excluding VAT). Final pricing including VAT and shipping is calculated at checkout.<br \/>\nThe Seller guarantees that product characteristics match the descriptions and images shown on the Website.<br \/>\nConsumer Users (B2C):<br \/>\nA 24-month legal warranty of conformity applies, starting from the date of delivery. Defects must be reported within 26 months by contacting: <a href=\"mailto:support@gstoolshop.com\">support@gstoolshop.com<\/a>.<br \/>\nThe Seller will assess the claim within 14 days. If the defect is confirmed, the product must be returned at the Seller\u2019s expense. The Consumer may then choose a replacement or full refund using the original payment method, where possible.<br \/>\nNon-Consumer Users (B2B):<br \/>\nA 12-month warranty applies, starting from the delivery date. Defects must be reported within 8 days of discovery, failing which the warranty is void.<br \/>\nUpon verification of the defect within 14 days, the product must be returned at the Seller\u2019s expense. Tools S.r.l. and its assignees.<br \/>\nAccess to the Website or purchase of products does not grant the User any rights over such intellectual property.<br \/>\nNo content may be copied, transferred, modified, or used without prior written permission from the Seller. Any unauthorised use may give rise to a claim for damages.<\/p>\n<ol start=\"11\">\n<li><strong> Limitation of liability<\/strong><\/li>\n<\/ol>\n<p>The Seller shall not be held liable for:<\/p>\n<ol>\n<li>total or partial failure to perform the services due and specified in these General Terms and Conditions of Sale for the conclusion of the online sales contract for the products on the Website, if the failure is due to and caused by unforeseeable events and\/or natural events beyond its reasonable control, including natural disasters, acts of terrorism, wars, popular uprisings, power failures, general strikes by public and\/or private workers, strikes and\/or restrictions on the movement of couriers and air connections, pandemics and\/or any other disruption or malfunction related to the use of the internet. Tools S.r.l. and\/or its licensors.<br \/>\nThese elements are protected by copyright and other intellectual property laws.
